Governance

Our governance philosophy is deeply rooted in integrity, transparency, accountability, and ethical decision-making, which guide our actions and relationships.

At Biocon Biologics, robust governance practices form the foundation of our commitment to responsible and ethical business operations. Our governance framework is anchored in transparency, accountability, and sound decision-making, ensuring alignment with global best practices. Guided by a proactive Board and specialized ESG oversight committees, we embed integrated thinking into our culture and strategies.

From maintaining strict compliance with regulatory standards, to fostering ethical leadership across all levels, we prioritize long-term value creation for stakeholders. This approach strengthens trust, drives sustainable business performance, and underscores our responsibility as a global leader in biosimilars.

Biocon Biologics has adopted key leadership roles and governance structures to ensure effective oversight and informed decision-making, balancing growth ambitions with ethical business practices. The governance structure is built on a robust system of checks and balances, aligning with global best practices.

Key pillars of this structure are:

Steering the organization with strategic oversight, the Board plays a critical role in ensuring adherence to the highest standards of governance, risk management, and regulatory compliance
As the apex decision-making body, the EC is responsible for setting the vision, corporate strategy, and governance practices in consultation with the Executive Chairperson and the Board
This team is tasked with execution of all strategic initiatives and delivery of the plan to achieve business and organizational goals
This structure fosters accountability, enhances leadership effectiveness, and ensures that governance practices are integrated into every aspect of our business.

At Biocon Biologics, ethics and compliance are central to our corporate culture. The Code of Conduct serves as the foundation, shaping policies on supplier conduct, human rights, and more. Regular and mandatory employee training on ethical standards, reinforces this commitment.

The Compliance Management System tracks and reports adherence to national and regional regulations. Our global Anti-Bribery and Anti-Corruption (ABAC) Policy underscores a zero-tolerance stance, offering clear guidance on identifying and addressing bribery risks. Similarly, our Conflict-of-Interest (COI) Policy ensures all decisions are free from undue influence.

We have implemented a Dawn Raid Policy to prepare for unexpected regulatory inspections and have introduced a Speak-Up Hotline for employees to anonymously report misconduct. Additionally, a global policy guides our interactions with healthcare professionals and organizations, ensuring ethical business conduct.

Biocon Biologics fosters transparency through its Vigil Mechanism, allowing stakeholders to report unethical behavior or suspected fraud without fear of retaliation. Human rights are integral to our operations, with a zero-tolerance approach to discrimination and harassment. Our Ethics & Compliance department is dedicated to preventing, detecting, and responding to ethical concerns, upholding the Company’s commitment to integrity, accountability, and transparency in all business dealings.
